Points of Action and Reference

The following are included in order to ensure successful and timely project completion.

1.  MWI will generate approval drawings upon receipt of:

A.  A signed Purchase Order

B.  Order Deposit

2.  Drawings will be generated in a timely manner and will be returned to the owner for approval and sign-off.  All manufacturing lead-times commence upon MWI’s receipt of signed and complete approval drawings.

B.  Return drawings to MWI

MWI will interpret information and produce approval drawings based on the information assembled and forwarded to us by the owner or the owner’s representative.  All drawings are subject to $55.00 per hour C.A.D. charge, for any project that requires more than 2 revisions.

3.  MWI’s payment terms require the order deposit at the time the Purchase Order is issued.  The net balance is due thirty days from date of invoice.

4.  Delivery criteria varies by customer and location.  In an attempt to provide a delivered price the following assertions were made.  Tailgate delivery, one shipment, to a standard dock.  If special delivery conditions exist, which are different from the above stated standard, additional charges may be added to the customers invoice such as, but not limited to: use of freight elevators or hoist access, direct access for unloading, street unloads, re-consignments, inside delivery, equipment rental, stairs, and etc.

5.  All items such as custom textiles, custom glass, customer specified hardware, and other customer specified items are subject to testing and approval by MWI.  Customer specified goods will be ordered only after credit approval has been given.  Delivery dates for customer specified items may affect lead times for product delivery and installation.

6.  Please be aware that custom textiles and vinyl’s are available in limited widths.  Changes in textile specifications may drive changes in final price, due to changes in panel dimensions.

7.  Estimate is valid for (30) thirty days from date of issue.

8.  Factory trained installers must be utilized.  MWI installers or supervisors are available at an additional charge.  If the price quoted is an installed price our pricing is based on straight time with installation occurring during normal working hours after site is ready.  We install over finished floor, to a finished ceiling and to finished adjacent walls to insure future flexibility.  The use of freight elevators or hoist shall be provided without cost to MWI for equipment or operator.

9.    Electric, Data, Communication cutouts will be included as shown on drawings.  Not included are wiring, cabling, and conduit connections to building.

Orders must be received in writing, accompanied by final product finish, specifications and signed MWI shop drawings, indicating approved project layout.

The customer has responsibility for order accuracy.   MWI does not assume responsibility for errors caused by miscommunications from the customer.  Orders are accepted only by issuance of MWI acknowledgement and are subject to the terms and conditions set forth herein; notwithstanding any variance in terms or conditions set forth on buyer’s order forms.  The order acknowledgement is the final confirmation of the agreement between the customer and MWI and supersedes all prior oral and written statements regarding the order.  The acknowledged order confirmation can be modified only in writing from MWI or by a reconfirmation produced by MWI.

MWI will attempt to meet all requested ship dates; however committed ship dates are established only after orders are entered in to MWI’s Order Entry System.  If no specific date is requested, we will assign the best possible ship date available.

Lead Time:  Product will ship approximately 6-10 weeks after receipt of purchase order, approval of all shop drawings, finish selection, hardware schedules and special engineering.  Delays in site readiness, approvals, or changes in scope may result in warehousing, delay in shipping or additional materials, requiring additional compensation.  Production, shipping, or installation delays due to natural disasters, labor strikes, material shortages, or other situations beyond our control are not the responsibility of M/W International, Inc. and in no event can M/W be held liable for any loss or damage from any delay or failure.

Change and Cancellation Policy

All change/cancellation requests must be evaluated at the time of request by MWI and are subject to revised lead times and/or additional charges.  Engineer-to Order (Custom/Special) changes or cancellation requests are not accepted after order entry.

Wood Finish Color Matching

Each place of natural veneer offers unique texture and grain.  Minor variations in finish color and value may occur due to the natural characteristics of wood.  MWI carefully selects al material used in every product ensuring a commercially acceptable color and finish.  Factors such as aging and exposure to light alter finishes.

Fabric Color Matching

MWI will always ship a satisfactory commercial match on fabric.  Because of Industry dye-lot variation, colors may not match exactly.

MWI Deposit and Payment Terms: 

All orders must include a deposit.  Minimum deposits will be calculated per the following schedule:

No order will be entered into the MWI Order Entry System without the proper deposit.  Payment terms are Net 30 days.  If someone other than MWI certified personnel are to install product; MWI reserves the right to collect payment at time of delivery. MWI pricing includes freight charges; however they do not include, unless specifically noted in the proposal:

3.  Local delivery, unloading, or Installation

These items will be invoiced as separate line items.  For tax exempt purchases an exemption certificate must accompany the Purchase Order.

Prices

All prices herein are delivered prices effective with the date printed on the estimate and supersede all other published prices.  Prices shown cover standard product only, and additional charges will be applied for changes to standard product.  MWI reserves the right to change prices without prior notice.  Prices herein are only for shipment within the continental United States.  For export pricing, please contact Customer Care.

Selling Information

Distribution of this price does not in itself constitute an offer to sell.  Orders can be received only from authorized MWI customers.  MWI prices and catalogs are not available to the general public.

Product Design

MWI reserves the right to make changes in design, specifications and construction or discontinue products without prior notice.

Freight

All U.S. shipments are F.O.B. point of shipment, freight prepaid and allowed to one continental U.S. destination.  International shipments (orders outside the Continental United States) and shipments into the States of Alaska and Hawaii are freight prepaid and allowed to port of exit.  MWI reserves the right to select the most appropriate F.O.B. point, carrier and routing on all shipments.

Normal delivery hours are 8:00 a.m. to 5:00 p.m., Monday through Friday.  Any delivery arrangements made outside of normal delivery times or deliveries refused during normal delivery times are subject to additional charges.

Inside delivery and specific (date/time) delivery requests and installation services are not included in the price of the product.  Should any of these services be requested or required, any and all related charges will be the responsibility of the “sold to” party.  Any order requiring “non-dock” or “inside” delivery must specify such on the order.  There will be a minimum inside delivery charge of $500.00.

Carrier Selection

MWI has the option to ship by what is in MWI’s opinion the best way merchandise may be delivered.  All product is shipped at purchaser’s risk after it has been carefully inspected, securely packed and picked up by the carrier, who will not accept it if it is not in good condition.  The carrier agrees to deliver it in the same condition as received.  MWI relinquishes all responsibility for goods shipped upon a clean receipt from the carrier.  Customer bears the risk of loss or damage during shipment.

Packaging

MWI’s standard method is to blanket wrap direct truckloads.  Certain less than truckload (LTL) orders may require crating at an additional charge.  Contact Customer Care for guidelines.

Loss, Damage, or Delay

MWI shall not be liable for loss, damage, detention or shipping delays resulting from causes beyond its reasonable control, including but not limited to fire, strike, material shortages, natural disasters, wreck or delay in transportation.  In the event of delay due to any such cause, the delivery date will be postponed by such length of time as may be reasonably necessary to compensate for the delay.

Shortages

If the shipment is not delivered in accordance with the quantity of cartons and packages shown on the Bill of Lading and/or Freight Bill, do not accept it until such shortages are noted on both documents. 

Storage

If the customer requests a change of ship date and the product is in production, MWI reserves the right to transfer the product to storage at the customer’s own risk and expense.  All requests to store product must be approved by MWI.  Such transfer to storage is made prior to shipping date specified on the acknowledgement; expenses of such will be borne by the customer only from the specified ship date.

Returned Merchandise

All returned goods must be accompanied by a Return Goods Authorization (AGA).  This approval and form is available from Customer Care.  Unauthorized returns will not be accepted and will be returned freight collect.

Repair Charges

Authorization must be secured in writing from MWI prior to incurring repair charges if MWI is expected to pay these charges.

Visible Damage 

Do not refuse merchandise damaged in transit.  All shipments are delivered to the transportation company in good condition (MWI’s liability ceases at that time).  If a shipment is received damaged, you should immediately file a claim with the transportation company.

Concealed Damage

Sealed Truck Delivery: If cartons appear to be in good order but on opening contents are found to be damaged, report immediately to MWI.  All claims for freight damage must be made immediately to the freight carrier direct. The buyer should report shortages within 15 days to MWI.  Failure to make such claims shall constitute full acceptance of the merchandise.   We suggest for your protection that all merchandise be inspected upon arrival at destination.

Common Carrier Delivery: If concealed damage is found, notify the delivering carrier at once, request an inspection and note damage on all copies of delivery receipt.  This is absolutely necessary within 3 days of a delivery.  Without this inspection, the transportation company will not entertain a claim for loss or damage.  If the carrier will not perform the inspection, you should prepare an affidavit that the carrier was contacted (indicating time and date of notice) and failed to comply with your request.  This, along with the other supporting documentation in your possession, will support the claim.  If the carrier declines to inspect damaged items; a detailed inspection should be made indicating the type and extent of damage to each item.  All shipping cartons must be retained for carrier inspection.  Do not move the damaged merchandise form the receiving location.  It must also be retained for inspection.

Warranty

MWI warrants to the original purchaser, that each piece of standard MWI product will be free from defects in workmanship, given normal use and care for a lifetime of single shift service.  Finishes, Textiles, decorative trim and electrical components are warranted to be free from defects in materials and workmanship for a period of two (2) years from the date of initial shipment.  Fabric and/or finishes are not warranted against fading or wearing, or improperly cleaned or treatment by the customer or others. Wood components are made of naturally variable, raw materials.  Difference in grain character, and color among wood species are naturally occurring variations and not within the control of the manufacturer nor considered defects under this warranty.

MWI warrants all Engineer-to-Order (ETO) products to be free from defects in workmanship given normal use and care for ten (10) years of single shift service.  Any request for an extended warranty for ETO products must be made in writing at the time of submission of product specifications to MWI.  Any extended ETO Warranty will be quoted to the Customer as part of the custom quote process and must be confirmed by MWI in writing prior to order entry.  This warranty applies to products manufactured and sold in North America, subsequent to July 1, 1998 and is made by MWI only to original purchasers acquiring our products through authorized dealers, directly from MWI, or from others specifically authorized by MWI to sell our products.  MWI will repair or replace at our option any part or parts of the warranted product found to be defective within the terms of the warranty.  Notify your authorized MWI dealer along with proof of purchase.

MWI warrants that all work surfaces are manufactured with a warp resistant composition.  Work surfaces are 1 ¼” thick composite wood core with high pressure laminate tops.  Front edges are composed of 3mm thick PVC.

This warranty does not cover:

  • Damage caused by a carrier other than MWI. 
  • COM (Customer’s Own Material) or any other non-standard MWI material specified by the customer is not warranted; this includes attributes such as appearance, durability, quality, colorfastness, etc.  Includes glass or other components field installed.
  • Difference in grain characteristics, color, and other features within and between wood species are naturally occurring variations.  These natural variations are not within MWI’s control, or considered defects under this warranty.

MWI’s warranty is only valid if the products are given normal and proper use and installed or used in accordance with MWI’s installation and /or application guidelines.  MWI assumes no responsibility for repairs to products sustaining damages resulting from user modification, attachments to a product, misuse, abuse, alteration, or negligence.  Demountable partitions to be installed by certified and experienced carpenters.  Installation by non-certified and experienced carpenters may void warranty.

THERE ARE NO OTHER WARRANTIES EXCEPT AS EXPRESSLY SET FORTH, EITHER EXPRESS OR IMPLIED, INLCUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.  WE EXCLUDE AND WILL NOT PAY CONSEQUENTIAL OR INCIDENTAL DAMAGES UNDER THIS WARRANTY.
